§ 1 - Vigencia, aspectos generales

1. Estas condiciones de pago y entrega están vigentes para todas nuestros servicios y entregas a empresas en el sentido que establece el párrafo § 14 del Código Civil alemán.
2. Las condiciones de contratación y acuerdos que sean distintos solamente serán vinculantes si los hemos aceptado por escrito. Nuestro silencio o nuestra entrega no los convierten en contenido del contrato.
3. Las condiciones también están vigentes en las relaciones comerciales actuales y futuras.
4. Según la Ley de Productos Químicos alemana, las sustancias, mezclas y productos solo se distribuyen a revendedores, usuarios profesionales e instituciones públicas de desarrollo, investigación y educativas (Reglamento de Prohibición de Productos Químicos). Nuestros socios contractuales también deben cumplir con las disposiciones del Reglamento de Prohibición de Productos Químicos, en particular con respecto a la entrega de las sustancias, mezclas y productos suministrados por nosotros.

 

§ 2 - Oferta, documentos de oferta, conclusión de contratos

1. Nuestras ofertas son vinculantes si las emitimos por escrito y sin reservas.
2. Podemos aceptar los pedidos en un plazo de 4 semanas a partir de la recepción del pedido, si bien su contenido es vinculante cuando los confirmamos por escrito o los ejecutamos mediante entrega de la mercancía.
3. Solamente estamos obligados a garantizar el mantenimiento existencias para pedidos bajo demanda si nos hubiéramos comprometido por escrito. Si se han acordado pedidos bajo demanda las cantidades indicadas se deben aceptar en el plazo de un año después del cierre del contrato. De lo contrario, estaremos autorizados a solicitar a la contraparte que, en un plazo de 4 semanas, formule el pedido y, si este plazo transcurre sin resultado, a desistir del contrato y exigir la remuneración pactada descontando los gastos ahorrados.
4. Nos reservamos los derechos de propiedad y de autor de las figuras, dibujos, cálculos y otros documentos. No se deben poner a disposición de terceros. Esto es aplicable, en especial, a aquellos documentos escritos designados como "confidenciales". Antes de transmitirlos a un tercero, el mandante debe tener por escrito nuestro consentimiento expreso.


§ 3 - Pago, precios, compensación

1. Nuestros precios son de fábrica, excluyendo el embalaje, más el IVA aplicable. Si los factores de coste (materiales de producción, energía, insumos, sueldos y salarios, etc.) que son decisivos para la formación del precio cambian sustancialmente en el período comprendido entre la celebración del contrato y el plazo de entrega o aceptación estipulado contractualmente, tendremos derecho a compensar dichos aumentos y a exigir el acuerdo de nuevos precios en modificación de los precios ofrecidos o confirmados. Si no se llega a un acuerdo, tenemos derecho a rescindir el contrato. Si los factores de coste a los que se hace referencia en la frase 1 se reducen, la parte contratante tiene derecho a aceptar una reducción de precio correspondiente y, en ausencia de acuerdo, el derecho a rescindir el contrato, de conformidad con la disposición anterior. En relación a la frase 2 se entiende que hay un cambio en los factores de coste si se ha producido una diferencia de costo de más del 10% entre la conclusión del contrato y el momento de la entrega o aceptación.
2. Salvo que exista un acuerdo de precios, el precio se calculará conforme al precio que esté vigente el día de la entrega.
3. Si asumimos la instalación o el montaje y si no se ha acordado nada más, la parte contratante pagará todos los además de la remuneración acordada todos los gastos accesorios, como por ejemplo los gastos de viaje, de transporte de las herramientas y equipaje personal, así como también las dietas.
4. Si no hay un acuerdo distinto, el precio de compra será pagadero sin descuento en un plazo de 14 días a partir de la fecha de la factura.
5. Los descuentos por pronto pago exigen un acuerdo especial por escrito.
6. En caso de retraso en el pago, tenemos derecho al abono de una cantidad predeterminada de 40 euros. Esto se aplica también cuando la reclamación de pago objeto de retraso sea un pago por adelantado o un pago a plazos. Además, tendremos derecho a un interés de demora en la cantidad de los costes de crédito que nosotros mismos soportamos, pero al menos en la cantidad de 9 puntos porcentuales por encima de la tasa de interés legal vigente, si bien nos reservamos expresamente el derecho a reclamar daños adicionales. La cantidad predeterminada de la frase 1 se tendrá en cuenta en caso de daños por retraso debidos, siempre que los daños se basen los costes de la reclamación legal.
7. No cabe el ejercicio de ningún derecho de retención por negocios anteriores o distintos de la relación comercial en curso; la compensación con contrarreclamaciones solamente estará permitida en la medida en que estas estén establecidas como indiscutibles e irrevocables.

 

§ 4 – Tiempo de entrega, fechas, plazos

1. Las fechas y plazos de entrega solamente son vinculantes en la medida en que los hayamos ofrecido o confirmado por escrito. Lo mismo vale para los plazos de entrega bajo demanda. El cumplimiento de los plazos presupone el cumplimiento oportuno de los demás deberes de cooperación a que pueda estar obligado el mandante; de lo contrario, los plazos acordados se prolongarán según sea necesario.
2. En caso de que nos retrasemos en cumplir con nuestra entrega, el daño de demora de la parte contratante se limita al daño típico y previsible. En concreto, no se reemplazan las ganancias perdidas o los costes de producción perdidos.
3. Si el envío o la entrega se retrasa más de un mes después de la notificación de disponibilidad para el envío a solicitud de la parte contratante, podemos cobrarle a esta el 0.5% del precio de los artículos de entrega por gastos de almacén de cada mes comenzado, si bien no más de un total del 5%, a menos que podamos demostrar costes de almacenamiento más altos. La parte contratante puede aportar pruebas de que los costes de almacenamiento no se produjeron en absoluto o fueron significativamente más bajos que la suma global.
4. Los conflictos laborales o eventos imprevisibles y extraordinarios tales como medidas de policía, interrupciones del transporte u otros eventos fuera de nuestro control y que no son de nuestra competencia, nos eximirán de la obligación de entregar mientras duren sus efectos o en caso de que hagan completamente imposible nuestra obligación de entrega.


§ 5 – Cesión del riesgo

1. Salvo que se pacte otra cosa, se acuerda la entrega franco fábrica. El envío se realiza por cuenta y riesgo del mandante. Si el mandante lo desea, el suministro estará cubierto por un seguro de transporte. Los costes que ello genere correrán a cargo del mandante.
2. Si es necesaria una recepción, esta será decisiva para la cesión del riesgo. Debe realizarse sin demora en la fecha de recepción o, alternativamente, una vez que hayamos notificado nuestra disposición a dicha recepción. Si la recepción se demora por circunstancias de las que no somos responsables, el riesgo pasa al mandante el día que notificamos nuestra disposición a la recepción.
3. En la medida en que las disposiciones obligatorias del Decreto de Envases u otras disposiciones legales no se opongan a ello, los envases / contenedores requeridos para el envío serán cobrarán a precio de coste y no se retirarán ni se anotarán a cuenta.

 

§ 6 – Reclamación por defectos, garantía, alcance de responsabilidad

1. Son aplicables las obligaciones establecidas en los párrafos §§ 377, 381 sección II del Código Mercantil alemán teniendo en cuenta que el mandante debe notificar por escrito todas las deficiencias, cantidades menores y suministros incorrectos en un plazo de 5 días hábiles después de la entrega y, en todo caso, antes del procesamiento o la instalación. Los daños debidos al transporte se deben comunicar inmediatamente por escrito al vendedor. En caso de entrega por ferrocarril, con vehículos de transporte comercial de mercancías a corta y larga distancia o mediante otros tipos de transporte, el mandante deberá realizar los trámites necesarios con el transportista. No cabe hacer objeciones a la costumbre y la merma que son habituales en el comercio.
2. En caso de reclamación, justificada y conforme al plazo, por vicios de mercancía defectuosa en el sentido que establece el párrafo § 434 del código civil alemán, el mandante gozará de los derechos de garantía legales, excluyendo los derechos a indemnización. Los acuerdos sobre características deben señalarse expresamente como tales. En principio, una referencia a normas DIN contiene la designación más detallada de la mercancía y no implica ninguna promesa por nuestra parte, salvo que se haya acordado expresamente una promesa.
3. La garantía no cubre el desgaste natural o daños que surgieran después de la transferencia de riesgos como resultado de un tratamiento defectuoso o negligente, uso excesivo, productos de operación inadecuados, trabajos de construcción inadecuados, terreno inadecuado o influencias externas especiales. Si la parte contratante o terceros llevan a cabo cambios o trabajos de instalación o reparación incorrectos, no existirá garantía para estos y las consecuencias resultantes. Si hay indicios objetivos de alguna de las circunstancias antes mencionadas, en particular en caso de intervenciones no profesionales, la otra parte debe demostrar que no tuvieron ninguna influencia en la entrega defectuosa. En ese caso tendremos derecho a presentar una prueba en contra.
4. La reclamación de garantía de la parte contratante presupone además que este último cumple con los intervalos de mantenimiento prescritos, realiza el mantenimiento de manera profesional y adecuada, y mantiene constancia escrita de ello. Los derechos de garantía del socio contractual sobre la resistencia de recubrimientos, conexiones y tuberías, así como equipos auxiliares, presuponen además que la parte contratante nos informa por escrito acerca de la composición de los productos que se utilizarán, su modo de reacción y sus temperaturas y las condiciones de funcionamiento.
5. El derecho a reclamar la garantía de la parte contratante caduca en un año desde la entrega de los productos o la aceptación del trabajo. La aceptación es también la que se desprende del § 5 párrafo 2. Este plazo no se aplica, en la medida en que la ley no permite un acortamiento de lo especificado en los plazos de los §§ 438, 634 a BGB.
6. Nuestra obligación de pagar una indemnización se limita al daño previsible.
7. La responsabilidad del contratista en virtud de la Ley de Responsabilidad del Producto no se ve afectada
8. No aceptamos sanciones contractuales.
9. El prestador del servicio es responsable dentro del alcance de la garantía contractual por daños y perjuicios -salvo por perjuicios para la integridad física, la salud o la vida- únicamente por dolo y negligencia grave, incluida la negligencia intencional y grave de sus agentes y agentes indirectos, a menos que se indique lo contrario a continuación. Se excluye la responsabilidad por negligencia simple o leve, siempre que no sea una violación de una obligación contractual en el sentido de la jurisprudencia del Tribunal Supremo alemán. En la medida en que la exclusión de responsabilidad antes mencionada no se aplique debido al incumplimiento de una obligación contractual, el prestador del servicio solo será responsable por los daños contractuales típicos y previsibles. Se excluyen otras reclamaciones más amplias del cliente. Las anteriores limitaciones o exclusiones de responsabilidad no se aplican en caso de incumplimiento de la obligación información y explicación precontractual.

 

§ 7 – Reservas de propiedad

1. La mercancía entregada continuará siendo de nuestra propiedad como mercancía reservada hasta que se efectúe el pago del precio de compra y se reembolsen todos los créditos existentes derivados de la relación comercial y los créditos que aún puedan surgir en relación con el objeto vendido. La inclusión de créditos individuales en una cuenta corriente o el ajuste de saldos y su reconocimiento no anulan la reserva de propiedad. Si, en relación con el pago del precio de compra por el mandante, se argumenta una responsabilidad cambiaria por nuestra parte, la reserva de propiedad no se extinguirá hasta que el mandante honre la letra de cambio como librado. Si el mandante se retrasa en el pago, tras la correspondiente amonestación estaremos autorizados a retirar la mercancía y el mandante estará obligado a devolverla.
2. Si el mandante procesa la mercancía reservada convirtiéndola en una nueva cosa mueble, el procesamiento se realiza para nosotros sin que ello nos suponga ninguna obligación; la cosa nueva pasará a ser de nuestra propiedad. Si la mercancía se procesa junto con otra mercancía que no nos pertenezca, adquiriremos la copropiedad de la cosa nueva conforme al valor que, en el momento del procesamiento, la mercancía reservada tenga en relación con la otra mercancía. Si la mercancía reservada se combina, se mezcla o se amalgama con mercancía que no nos pertenezca conforme a lo establecido por los párrafos §§ 947, 948 del código civil alemán, pasaremos a ser copropietarios de conformidad con las disposiciones legales. Si el mandante adquiere la propiedad exclusiva mediante combinación, mezcla o amalgama, nos transfiere desde ese mismo momento la copropiedad según el valor que la mercancía reservada tenga con relación a la otra mercancía en el momento de la combinación, mezcla o amalgama. En estos casos el mandante deberá custodiar gratuitamente la cosa que sea de nuestra propiedad o copropiedad y esta también se considerará mercancía reservada en el sentido que establecen las siguientes disposiciones.
3. Si el mandante enajena mercancía reservada, sola o junto con mercancía que nos pertenezca, estará cediendo desde ese mismo momento el crédito surgido de la reenajenación por el valor de la mercancía reservada con todos los derechos y preferencia sobre el resto; aceptaremos esta cesión desde ese mismo momento. El valor de la mercancía reservada es el importe de nuestra factura más un suplemento de fianza del 10% que, sin embargo, no se aplicará en la medida en que se opongan a él derechos de terceros. Si la mercancía reservada reenajenada es de nuestra copropiedad, la cesión del crédito se extenderá al importe que corresponda al valor de nuestra participación en la copropiedad. Es aplicable el punto 1, frase 2 según corresponda para la reserva de propiedad prorrogada; la cesión por adelantado según el párrafo § 3 puntos 1 y 3 también se extenderá al saldo adeudado.
4. Si el mandante instala mercancía reservada como parte esencial en el inmueble de un tercero, estará cediendo desde ese mismo momento las reclamaciones de remuneración surgidas contra el tercero o contra aquel a quien incumba por el valor de la mercancía reservada con todos los derechos accesorios, incluido el de constituir una hipoteca de garantía, con preferencia sobre el resto. Aceptaremos esa cesión desde ese mismo momento.

Es aplicable el punto 3, frases 2 y 3, según corresponda.

5. Si el mandante instala mercancía reservada como parte esencial en el inmueble del mandante, el mandante estará cediendo desde ese mismo momento los créditos surgidos de la enajenación comercial del inmueble o de derechos inmobiliarios por el valor de la mercancía reservada con todos los derechos accesorios y con preferencia sobre el resto; aceptaremos esa cesión desde ese mismo momento. Es aplicable el punto 3, frases 2 y 3, según corresponda.
6. El mandante está autorizado y facultado a revender, utilizar o instalar la mercancía reservada solamente en el curso habitual y reglamentario de los negocios y solo con la condición de que realmente pasen a nosotros los créditos en el sentido que establecen los puntos 3, 4 y 5. El mandante no está autorizado a otras disposiciones sobre la mercancía reservada, en especial pignoración o transmisión en garantía.
7. Facultamos al mandante, bajo reserva de revocación, a cobrar los créditos cedidos a tenor de los puntos 3, 4 y 5. No haremos uso de la potestad de cobro propia siempre y cuando el mandante cumpla sus obligaciones de pago, también frente a terceros. A petición nuestra, el mandante deberá nombrar los deudores de un crédito cedido y notificar a estos la cesión; estamos facultados a notificar nosotros mismos la cesión a los deudores.
8. Si el valor de las garantías existentes para nosotros excede nuestros créditos en más del 20% en total, estaremos obligados, a petición del mandante, a liberar en esa medida las garantías que nosotros elijamos. El mandante deberá informarnos inmediatamente de cualquier embargo o violación de nuestros derechos por parte de terceros.
9. Si el mandante no cumple sus obligaciones de pago o se ha solicitado la apertura del procedimiento de insolvencia en el patrimonio del mandante, el mandante deberá, tras la correspondiente a amonestación, restituir la mercancía reservada. Sin embargo, debido a la reserva de propiedad, solo podremos exigir la restitución si hemos desistido del contrato. El mandante deberá informarnos inmediatamente sobre las medidas de ejecución forzosa en la mercancía reservada o en los créditos cedidos, entregando los documentos necesarios para el recurso.
10. Con la suspensión de pagos, con la solicitud y apertura de un procedimiento de insolvencia y con la apertura de un procedimiento de prestación de declaración jurada, se extinguirán el derecho de reventa, utilización o instalación de la mercancía reservada y la autorización para el cobro de los créditos cedidos; la autorización para el cobro también se extinguirá con el protesto de un cheque o una letra de cambio.

 

§ 8 – Fuero competente

1. Si se dan los requisitos para una prorrogación de fuero según el párrafo § 38 del Código Procesal Civil alemán, la jurisdicción competente para todas las pretensiones de las partes contratantes, también para acciones cambiarias, es nuestro domicilio comercial; no obstante, también estamos autorizados a demandar al mandante en el foro de su domicilio.
2. Rige el derecho de la República Federal de Alemania con exclusión de la Convención de las Naciones Unidas sobre los contratos de compraventa internacional de mercaderías de (CISG).

 

§ 9 – Ley alemana de protección de datos

El mandante autoriza que los datos necesarios para la ejecución del encargo y la liquidación sean procesados y almacenados informáticamente (§§ 4, 4 a BDSG). La factura (recibo de entrega) vale al mismo tiempo como aviso en el sentido que establece el párrafo § 33 de la ley alemana de protección de datos.
